How a UAE criminal case actually runs
A matter starts with a complaint to the police. The file passes to the Public Prosecution, which investigates, decides whether to detain, and decides whether to refer the case to the criminal court. The court stage is the visible part and usually the shortest.
Three features surprise people used to other systems. The investigation is conducted and recorded in Arabic, so the accuracy of interpretation is not a formality — it is the record. Detention decisions are made early and reviewed periodically, which makes the first days disproportionately important. And a criminal complaint is frequently filed to create leverage in what is really a commercial dispute, which changes the correct response entirely: the answer to a manufactured complaint is documentary and immediate, not a negotiation.
Travel bans and account freezes can attach before any charge. Both are far easier to address while the file sits with the Prosecution than after referral, and neither lifts on its own.
Fraud, breach of trust and embezzlement
The Penal Code distinguishes between obtaining property by deception and misusing property lawfully received. Breach of trust covers the employee or agent entrusted with funds who applies them elsewhere; fraud covers the deception that induced the transfer in the first place. The distinction matters because the elements, and therefore the defence, are different.
Most corporate cases turn on authority and on records. Was the payment authorised, by whom, and does the contemporaneous record support the authorisation now asserted? A defence built on what everyone understood informally rarely survives a documentary investigation; a defence built on board minutes, mandates and payment approvals usually does.
Cheque-related offences sit alongside and behave differently since the 2022 reforms moved much of the exposure toward civil execution. That changed the leverage in a great many commercial disputes, and a complaint framed on an old understanding of the position is often answerable on that ground alone.
Bribery, corruption and procurement
UAE law reaches bribery of public officials and, separately, commercial bribery between private parties — the second is less well known and catches procurement and agency arrangements that participants did not think of as corrupt. Facilitation payments are not carved out.
For international groups the exposure is rarely only local. Conduct in the UAE can engage the FCPA where there is a US nexus, and the UK Bribery Act where a company carries on business in the UK, including its failure-to-prevent offence. A single set of facts can therefore produce three investigations with three different standards, and a statement made helpfully in one can be disclosed in another.
Procurement and tender work generates the recurring pattern: an intermediary, a commission that is not documented against identifiable services, and a decision-maker connected to the recipient. The defence usually rests on whether the commercial rationale was real and recorded at the time.
Money laundering, and where sanctions exposure begins
The money laundering offence does not require conviction for the underlying crime, which is what makes it so widely charged. Dealing with property knowing or suspecting it represents proceeds is sufficient, and suspicion is assessed on what a person in that position ought to have appreciated.
Regulated businesses carry a separate layer: customer due diligence, beneficial ownership verification, and the obligation to report suspicion. A failure in the compliance framework is itself actionable, independently of whether any laundering occurred, and the regulator's findings tend to become the prosecution's evidence.
Sanctions exposure arrives most often through trade and shipping — counterparties, vessels and routing — and through correspondent banking, where a single payment can put a relationship at risk. Screening that stops at the named counterparty and ignores ownership and control misses the most common problem.
Forgery and documentary offences
Forgery is charged far more often in the UAE than practitioners from other systems expect, and it reaches more than fabricated documents. Altering a genuine document, using one knowing it to be altered, and procuring an official document on false information can all fall within it, with official documents treated more seriously than private ones.
It appears constantly as a companion charge: a disputed signature on a guarantee, an amended invoice, a backdated board resolution, a power of attorney whose scope is contested. Because the offence can be made out on a document a party did not create but did rely on, the safe assumption is that any document in the file may be examined.
Defence is technical. It turns on the document's provenance, on expert examination, and frequently on establishing that the version complained of was produced innocently from a source the accused was entitled to rely on.
Asset tracing and civil recovery — the other front
A conviction does not return the money. Recovery runs on a parallel civil track, and the two need to be sequenced deliberately: a criminal finding can help a civil claim, while an early civil settlement can undercut a criminal complaint a claimant may still need.
Precautionary attachment is the practical starting point onshore, obtainable at short notice to freeze assets before a respondent reorganises them. The DIFC and ADGM courts offer common-law freezing relief with worldwide reach in appropriate cases, and their judgments enforce onshore through the established channel — which is why the choice of forum for the civil claim deserves as much thought as the criminal strategy.
Tracing itself is evidential work: bank records, corporate registries, beneficial ownership and the movement of funds through intermediaries. It is won by the party that builds the chain first.
Corporate liability and internal investigations
A company can be liable for offences committed by those acting in its name and for its benefit, so an employee's conduct becomes a corporate problem quickly. What usually determines the outcome is whether the company had a real compliance framework and whether it acted once it knew.
That makes the internal investigation the first substantive decision. Done properly — scoped, privileged where privilege is available, documented — it establishes what happened and preserves options. Done informally, it creates a body of unhelpful material that may later be disclosable and interviews that cannot be relied on.
Self-reporting is a genuine strategic question rather than an automatic answer, and it changes depending on which regulators are engaged and whether a foreign authority is already involved.

Frequently asked questions
I have been called to the police station. Should I attend alone?
No. A UAE criminal matter is largely shaped before anyone sees a courtroom, and what is said in the first interview — recorded in Arabic — frequently becomes the case. Attend with counsel, and produce the documentary answer at the right moment rather than explaining informally.
Can a travel ban be imposed before I am charged?
Yes. A complaint can produce a travel ban at an early stage. Lifting it is a separate application with its own requirements, and it is considerably easier while the file is still with the Public Prosecution than after referral to court. The same applies to frozen accounts: the freeze is fast, the release is not.
Someone has filed a criminal complaint to pressure me in a commercial dispute. What do I do?
This is common and the correct response is documentary and immediate, not a negotiation. A complaint that mischaracterises a contractual disagreement as a crime is usually answerable on the record — but only if that record is put in front of the Prosecution early, before a referral decision is taken.
What is the difference between fraud and breach of trust?
Fraud is obtaining property by deception. Breach of trust is misusing property that was lawfully received — the employee or agent entrusted with funds who applies them elsewhere. The elements differ, so the defence differs, and the charge selected shapes what has to be proved.
Do cheque cases still carry criminal exposure?
Much of the exposure moved toward civil execution with the 2022 reforms, which changed the leverage in a great many commercial disputes. A complaint framed on an older understanding of the position can often be answered on that ground alone.
Can we be prosecuted for bribery between private companies?
Yes. UAE law reaches commercial bribery between private parties as well as bribery of public officials, and there is no carve-out for facilitation payments. Procurement and agency arrangements are where this most often catches people who did not think of the conduct as corrupt.
Conduct happened in the UAE — can the FCPA or UK Bribery Act still apply?
They can. A US nexus can engage the FCPA, and carrying on business in the UK can engage the UK Bribery Act including its failure-to-prevent offence. One set of facts can produce three investigations under three standards, and a statement given helpfully in one may be disclosed into another.
Can we be charged with money laundering without a conviction for the underlying offence?
Yes — that is what makes the charge so widely used. Dealing with property knowing or suspecting it represents proceeds is sufficient, and suspicion is measured by what someone in that position ought to have appreciated.
Will a conviction get our money back?
No. Recovery runs on a parallel civil track and needs deliberate sequencing. Precautionary attachment onshore freezes assets at short notice; DIFC and ADGM offer common-law freezing relief with worldwide reach in appropriate cases, enforceable onshore through the established channel.
Should we self-report what our internal investigation found?
It is a genuine strategic question, not an automatic yes. The answer changes with which regulators are engaged and whether a foreign authority is already involved. Scope and privilege the investigation properly first — an informal enquiry tends to create disclosable material and interviews you cannot rely on.
