What ADGM is, and what it is not
ADGM is a financial free zone with its own legal system. It has its own companies law, employment regulations, data protection regime, insolvency framework and property register, its own financial services regulator in the FSRA, and its own courts applying English common law and equity directly.
What it is not is a tax or regulatory workaround. Entities here are subject to the UAE corporate tax regime, with the qualifying free zone person rules determining treatment, and to substance requirements. A structure with no genuine activity is exposed in exactly the way it would be anywhere else.
The reason to be here is legal certainty of a particular kind: common-law remedies, a court that reasons from English authority in English, and a companies regime international counterparties recognise.
Companies, SPVs and holding structures
ADGM offers the full range — private companies limited by shares, SPVs, holding companies, restricted scope companies, branches and partnerships. Full foreign ownership is permitted.
The SPV is the most used vehicle in practice: a light-touch holding entity with no requirement for physical office space, widely deployed for holding shares, real estate and intellectual property, and for joint venture structures where the parties want a common-law shareholders' agreement.
The recurring comparison is with the DIFC Prescribed Company, and they are not interchangeable — eligibility conditions, permitted activities and the qualifying-purpose requirements differ. The choice should be made on what the vehicle needs to do and where the assets and counterparties sit, not on which registry is closer.
The ADGM Courts
A Court of First Instance and a Court of Appeal, with a Small Claims Division for lower-value and many employment matters. Proceedings are in English before judges drawn from common-law benches.
Jurisdiction covers disputes connected to ADGM and, separately, any dispute the parties agree in writing to submit — the opt-in route, which makes ADGM available as a neutral forum for contracts with no other Abu Dhabi link.
Disclosure is meaningful, witnesses are cross-examined, and freezing injunctions and other equitable relief are available including in support of foreign proceedings. Judgments enforce onshore through mutual-enforcement arrangements on a recognition basis.
Real property
Land within ADGM is held under a registration system: an interest in registrable land takes effect on entry in the register, not at signature. Freehold, leases above the prescribed term, and mortgages are registrable.
Full foreign ownership is permitted, without the restrictions applying onshore outside designated investment areas. The practical risks are the gap between exchange and registration, the lease registration threshold where renewal options are aggregated, and strata arrangements in multi-unit developments.
Foundations and trusts
Because equity is in force, ADGM supports both trusts and foundations — the latter a civil-law-style entity with legal personality, widely used for succession and asset-holding by families who want control without a trustee relationship.
Foundations are used for family wealth structuring, holding operating company shares, and succession planning that avoids forced-heirship exposure. Trusts suit arrangements where the settlor is content with a trustee holding legal title.
Which fits depends on the family's centre of gravity, the assets, and whether any beneficiary sits in a jurisdiction that treats one form less favourably than the other.
FSRA-regulated activity
Financial services in or from ADGM are regulated by the FSRA. The perimeter turns on the activity carried on, not on how the business describes itself, and authorisation tests governance, capital, systems and controls, and the fitness of controllers.
ADGM was early to a dedicated virtual assets framework and operates a regulatory laboratory pathway for genuinely novel propositions. Both attract applicants whose business models do not fit the standard categories, and both reward an application that matches the permissions sought to what the business actually does.
ADGM against DIFC
Both are common-law financial free zones with their own courts and regulators, and for many purposes either works. The differences that matter in practice are the source of law, the vehicle types, and location.
ADGM applies English common law directly, so English authority is law rather than persuasive. DIFC has enacted its own body of statutes drawing on common-law models. For a structure that depends on equitable doctrine, the directness of ADGM's approach is an advantage; for a business whose counterparties and staff sit in Dubai, DIFC's location usually decides it.
Where a group uses both, the documents should be explicit about which jurisdiction governs which relationship. Assuming symmetry is where the problems start.

Frequently asked questions
What does ADGM actually give me that onshore does not?
English common law and equity applied directly — trusts, equitable interests, tracing, freezing injunctions and specific performance, reasoned from English authority. An English-language court. A companies regime international counterparties recognise. And full foreign ownership without the onshore restrictions. It is not a tax or regulatory workaround; entities here are within the UAE corporate tax regime and subject to substance requirements.
ADGM SPV or DIFC Prescribed Company?
They are not interchangeable — eligibility conditions, permitted activities and qualifying-purpose requirements differ. Decide on what the vehicle needs to do and where the assets and counterparties sit. The ADGM SPV is light-touch with no requirement for physical office space and is heavily used for holding shares, real estate and IP.
Can two non-ADGM companies use the ADGM Courts?
Yes, by written agreement — the opt-in route. That gives a neutral English-language common-law forum for contracts with no other Abu Dhabi connection. The clause has to name the court precisely and define the disputes covered; 'the courts of Abu Dhabi' will not do it.
Can a foreign national own property in ADGM?
Yes, outright, without the restrictions applying onshore outside designated investment areas. Title passes on registration rather than at signature, so the period between exchange and registration is the risk window and should be managed with a pre-completion search and linked funds release.
Foundation or trust for our family structure?
A foundation has legal personality and gives control without a trustee relationship, which suits families uncomfortable with transferring legal title. A trust suits arrangements where a trustee holding title is acceptable. The deciding factors are usually the family's centre of gravity, the assets, and whether a beneficiary sits in a jurisdiction that treats one form less favourably.
Do we need FSRA authorisation?
If you carry on a regulated activity in or from ADGM, yes. The perimeter follows the activity, not the description — holding client assets, operating a facility, dealing, advising or managing. Authorisation tests governance, capital, systems and controls and the fitness of controllers, and applications fail most often on permissions that do not match the business described.
Is ADGM better than DIFC?
Neither is better in the abstract. ADGM applies English common law directly, so English authority is law rather than persuasive — an advantage where a structure depends on equitable doctrine. DIFC has its own enacted statutes and sits in Dubai, which usually decides it for businesses whose counterparties and staff are there. Where a group uses both, say explicitly which jurisdiction governs which relationship.
Will an ADGM judgment be enforceable elsewhere in the UAE?
Yes, through the mutual-enforcement arrangements between ADGM and the onshore courts, on a recognition rather than re-litigation basis. Internationally it travels as a common-law judgment. Establish where the defendant's assets sit before filing, because that determines which enforcement route matters.
